Privacy Policy

Confidentiality Agreement, is a contract that ensures that any information and documents explicitly stated to be confidential, regarding a project conducted between the parties or a shared business matter, will not be disclosed to any third party without the consent of the relevant person. This agreement defines the scope and conditions of confidentiality.

With this agreement, the parties are protected against the theft of projects and ideas, as well as against unfinished or ongoing projects being learned about by third parties and having opinions expressed on them.

How Is This Document Used?

This document grants the parties control rights over ideas and projects shared with another person or company. Used to protect trade secrets, this agreement includes provisions such as the purpose of information exchange, the duration for which the information must remain confidential, the limitation that information may only be shared with third parties within the permitted scope, and the return or destruction of such information upon request by either party.

The party that violates this agreement or fails to make efforts to protect confidentiality shall be liable for compensation. For this reason, a penalty clause is an essential element of a confidentiality agreement. It is also important for the effectiveness of the agreement that the penalty amount be deterrent and higher than the potential income that the breaching party might obtain by violating confidentiality.

After completing this agreement template, it should be printed and signed by both parties. Each party should retain a copy of the agreement.

Legal Basis

There is no specific article regulating Confidentiality Agreements under Turkish law. However, the general provisions of the Turkish Code of Obligations, as well as the provisions of the Labor Law and the Commercial Code, may apply to Confidentiality Agreements.
