Privacy Policy
Confidentiality Agreement is a contract that ensures information and documents, explicitly stated to be confidential regarding a project or shared business matter between the parties, are not disclosed to any third party without the consent of the relevant person. This agreement can define the boundaries and conditions of confidentiality.
With this agreement, the parties are protected from the theft of projects and ideas, and also from the possibility of an unfinished and ongoing project being learned and commented on by third parties.
How to Use This Document?
This document grants the parties control over the ideas and projects shared with another person or company. Used to protect trade secrets, this agreement includes provisions such as the purpose of the information exchange, the duration for which the information will remain confidential, the scope within which information can be shared with third parties, and the obligation to return or destroy the information upon request of one of the parties.
The party who violates this agreement or fails to make efforts to maintain confidentiality shall be penalized with compensation. For this reason, a penalty clause is an essential part of a confidentiality agreement. The amount of the penalty must be deterrent and higher than the potential gain the other party might obtain from breaching the confidentiality, which is important for the effectiveness of the agreement.
Once this sample agreement is completed, it should be printed out and signed by both parties. Each party should keep a copy of the agreement.
Legal Basis
There is no specific article in the laws of Turkey that regulates the Confidentiality Agreement. General provisions of the Turkish Code of Obligations, the Labor Law, and the Commercial Code may be applied to the Confidentiality Agreement.
